Jochem Kop
Director
Jochem is a partner at Rebel Finance & Transactions in Rotterdam, where he advises on financing, financial models and negotiations in infrastructure and energy. Before that he worked in private equity at Value Enhancement Partners and in structured finance at Rebel. He studied at Erasmus University Rotterdam.
Hugo Tijssen
Fund Administrator
Hugo spent more than twenty years in financial services at ING and Nationale-Nederlanden, after earlier roles as consultant and project leader at Atos and as research scientist at TNO. He holds an engineering degree from Delft University of Technology.
Structure
A ring‑fenced structure.
The Manager and the legal-owner foundation are separate legal entities that manage and legally own the Fund’s assets on behalf of the participants. They are not investments of the Fund.
- Manager
- Vertex Capital B.V. runs the model and the Fund. Registration with the AFM as manager of alternative investment funds under article 2:66a Wft (light regime) has been applied for. It does not hold a licence under article 2:65 Wft; neither the Manager nor the Fund is subject to ongoing supervision by the AFM or prudential supervision by De Nederlandsche Bank.

- Stichting Bewaarder Vertex Fund, which holds the Fund’s assets for the participants.
- Fund
- Vertex Fund, Open-end fund for joint account (fonds voor gemene rekening) under Dutch law, with a Lead Series and a Founder Series.
- Broker and custody
- Interactive Brokers Ireland Ltd (introducing broker: Lynx B.V.)
- Participants Committee
- An advisory committee of 3 to 5 participants. Advises on conflicts of interest, redemption limits and material changes to the terms.
Alignment and governance
How our interests are aligned.
High-water mark
A performance fee is charged only on value above the highest NAV ever reached, never twice on the same recovery.
Founders invest alongside
The founders hold their own capital in the Fund through the Founder Series.
Rebates go to the Fund
Any broker rebates or kickbacks benefit the Fund, never the Manager.
Two months’ notice
Material changes to the investment policy are announced two months in advance, with a free exit window.
Shared governance, disclosed
The Manager and the legal-owner foundation are governed by the same persons, as permitted for light-regime AIFMs. The Fund has no independent depositary; see the Information Memorandum for governance risks.
Reporting
Monthly NAV, a quarterly update and an annual report, with returns attributed to each engine and position.
